The parties to this agreement
These terms are the agreement between Numainda ("we", "us") and the business using the service ("you", "the merchant"). They bite the moment you ask us to open an account, put your first message through us, or settle an invoice. Agreeing for a company means you confirm you may bind it. Where a separate written agreement carries our signature, that paper wins wherever the two clash. If a part of this does not suit your business, say so before we go live, not after.
What we supply
We stand in for your shop on WhatsApp. That means taking the questions your customers send, checking cash-on-delivery orders before dispatch, sending order and delivery news, and handing back to you whatever we cannot answer. It all runs on the official WhatsApp Business Platform (Meta Cloud API). We write your templates and file them with Meta, we supply the wording for the checkout box, and we connect to wherever your orders come in so what we send matches real ones. We are a service provider — no courier, no payment processor, no seller: we write about your orders, we do not fulfil them.
Our distance from Meta
Numainda is an independent Pakistani business. We are no affiliate, partner, sponsee, endorsee or agent of WhatsApp, Meta Platforms or Facebook. "WhatsApp" and "Meta" are their trademarks and we name them only to describe the platform the service sits on. Your use of WhatsApp falls under Meta's own terms and policies too, which Meta may rewrite whenever it chooses and which we cannot bend for you.
The tick is not negotiable
This is the clause we hold to hardest, because it protects your number as much as your buyers. The only contact details you may pass us belong to people who ticked a box on your checkout — a box that was empty, that named your shop, and that said help and order news would arrive by WhatsApp. Keep the proof and produce it if we or Meta ask. Do not hand over bought lists, harvested numbers, contacts dragged from another platform, or buyers from before that box existed. Numbers found without a tick stop the sending that moment and may close this agreement without notice. Size of account changes nothing.
What we will refuse
The following lie outside the service and we turn them down whatever is offered: running promotional or discount campaigns down the support line; writing to anyone who never ticked the box or who has sent STOP; passing marketing off as an order update; posing as another business, a courier, a bank or a government office; sending anything unlawful, misleading, hateful, adult, or pushing prohibited goods; using the service to collect data for a purpose your customers were never told; or working around Meta's rate limits, quality ratings or template review. Asking may end the agreement then and there.
Templates are Meta's to approve
Every message sent for you uses a template Meta approved beforehand. We write the wording, submit it, and rewrite whatever is refused. Approval, timing and category all belong to Meta, which may pause or refuse a template at any moment for reasons it does not always share. We can promise neither approval nor speed. Do not ask us to send anything other than what was approved.
Your account and who uses it
Keep your login to yourself and tell us at once if you think it has slipped elsewhere. What happens through your account is yours, your staff included. Give us correct business details and keep them so — a stale number or address can stall template approval and, at worst, bring a suspension we cannot appeal on your behalf.
Cost and billing
Charges, the billing cycle and any per-message cost sit in your quotation or order form. Meta bills separately for conversations on the WhatsApp Business Platform and those come to you at cost. Invoices fall due inside the period printed on them. An invoice left unpaid may bring a suspension after notice; the suspension clears nothing owed. Prices may move on thirty days' written notice, leaving you time to go if the new figure does not suit.
What the law puts on you
As merchant you are data controller for your customers' information, answerable for the accuracy of what you sell, the delivery and returns you promise, your own privacy notice, and Pakistani consumer and data protection law. We work as processor on your instruction. You agree to cover us against claims arising from your goods, your delivery promises, or contact details handed over without a valid tick.
Running time and changes
We mean to keep the service running without break, but no uptime guarantee exists unless one is written into a separate agreement with you. Maintenance, trouble at Meta, network faults and events past our reach can cut delivery short. We may improve, alter or retire parts of the service; where a change materially reduces what you get, fair notice comes first.
Where we make no guarantee
We do not guarantee your number will escape restriction, that your quality rating will hold, that a template will clear, that a message will arrive or be read, or that your sales or returns will move by any figure. Those sit with Meta, with your buyers, and with your own goods and service. Anybody in this trade promising otherwise is selling what they do not own. Our commitment is a compliant setup, honest sending, and a plain answer the day something goes wrong.
How far liability reaches
As far as the law permits, neither side answers for indirect or consequential loss, profit or sales foregone, data lost, or damage to standing. Our whole liability on any claim from the service stops at the fees you paid across the three months right before whatever caused it. None of this limits liability for fraud, wilful misconduct, or anything the law forbids limiting.
Closing the agreement
Either side may end this on thirty days' written notice. We may suspend or close it at once where the tick rules are broken, where the service goes to anything forbidden above, where an invoice stays unpaid after notice, or where Meta pulls access. On closing, sending stops, you settle what is owed, and your data is handled as described in our Privacy Policy. You may ask for your conversation records to be exported before deletion; ask inside thirty days of closing.
The law that applies, and where to write

The messaging rules, short
Kept short, since it matters more than the rest: we write only to people who ticked an empty box on your checkout; every send uses a template Meta approved first; STOP lifts a number off instantly and for good for that shop; we send help and order news, never marketing or cold outreach; we take no bought, harvested or imported lists; and we stand apart from WhatsApp, Meta and Facebook. Breaking these is the quickest way to lose a WhatsApp number, which is why they are conditions of service and not advice.
